CONSTITUTION & BY-LAWS
ARTICLE I: NAME & PURPOSE
Section A: Name – The name of this club shall be Ohio EXCA.
Section B: National Affiliation – The rules and regulations of the national organization Extreme Cowboy Association shall be followed and recognized at all times.
Section C: Purpose – The purpose of this club shall be:
1. Promote horsemanship in a way that is fun, meaningful, and skilled in a journey of extreme cowboy racing.
ARTICLE II: MEMBERSHIP & DUES
Section A: Eligibility - Membership shall be open to anyone upon payment of the dues as outlined in Section B. Membership eligibility will run from January 1st-December 31st of each year.
Section B: Dues – Dues shall be $35 per year. National dues shall be paid separately and are established at the discretion of the national organization.
Section C: Registration/Payment for Events: Registration and/or payment for all club-sanctioned events must be received by the designated cut-off as advertised for each event.
Section C: Privileges of Membership -
A. All members whose participation meets the requirements set forth in these bylaws may: 1) speak at general meetings 2) run for an executive position and 3) participate in all club events. B. Regular members in good standing (i.e. have met the requirements set forth in these bylaws) may be elected to or retain office.
Section D: Expectations of Membership - All members are expected to behave at all club functions and online presence in a manner that is respectful and reflective of club values.
Section E: Termination of Membership - Membership may be terminated at any time at the discretion of the executive officers for any reason, including but not limited to: unsportsmanlike conduct, harassment of judges/officers/club members/volunteers, consumption of alcohol or illicit substances during club-sanctioned events, abuse or use of excessive force towards a horse, or any behavior deemed unbecoming of or detrimental to the club. All membership dues and fees paid shall be forfeit by the member in instances of termination of membership.
ARTICLE III: OFFICERS
Section A: Officers – The officers of the Executive Board shall be at minimum a President, Secretary, and Treasurer. Additional officer positions (including but not limited to Sponsorship Officer, Social Media Manager, and Support Officer) may be added or removed from the Executive Board at any time at the discretion of the established executive officers.
Section B: Eligibility – Officers must be current Ohio EXCA members in good standing.
Section C: Election – The officers shall be elected by appointment of the current executive officers. Should more than one member express interest in filling the same officer position, the current executive officers may choose amongst themselves the manner in which the candidate will be chosen.
Section D: Term and Termination– The officers may serve for any amount of time. An officer may be terminated from their position at any time at the unanimous discretion of the other members of the Executive Board.
Section E: Vacancy – If a vacancy, either due to temporary leave of absence or termination/willful resignation occurs in any officer position mid-season, the remaining officers shall determine to either fill the vacancy by appointing a new officer to the position, or to assume the responsibilities of the role amongst themselves.
ARTICLE IV: DUTIES OF OFFICERS
Section A: President – it shall be the duty of the President to:
Section A: Meetings – Regular meetings of the Executive Board shall be held monthly. Meetings may be canceled or additional meetings may be added at the discretion of the President.
Section B: Open Meetings – Open meetings for the attendance of the general members may be called by the President with the approval of the Executive Board.
Section C: Voting - All officers of the Executive Board shall vote on all matters presented for discussion. Matters shall be determined by a majority rule. In a deadlock situation, the President shall have the final determining vote.
ARTICLE VI: COMMITTEES
Section A: Special Committees – The President shall have the authority to appoint any special committees, with the approval of the Executive Board, from time to time as need demands.
ARTICLE VII: AMENDMENTS
Section A: Selection – These bylaws may be amended by majority vote of the Executive Board.
Section B: Notice – An amendment to the bylaws can be submitted to vote by the executive board during a board meeting or by calling a special meeting.

- Administer all necessary executive decisions on behalf of the club
- Oversee all activities of the Executive Board, and delegate duties to Members as required
- Represent the club at the national level and assume any duties of communication with the National Organization
- Appoint committee chairpersons or other officers subject to the approval of the Executive Board
- Perform such other duties as ordinarily pertain to this office
- Support the Executive Board by ensuring the smooth functioning of club management
- Prepare the agenda and direct matters of discussion accordingly at all club meetings
- Record the minutes of all meetings
- Keep a digital file of the club’s records
- Maintain a current roster of membership
- Keep an itemized account of all receipts and expenditures in written and digital format and make report at each meeting and additional as directed
- Receive all funds and process all requests for payment, deposits, and otherwise managing any and all monetary matters of the club
